A sale transfers ownership once, at the size the record is today. A licence grants defined rights over a defined copy for a defined period, and the business keeps everything. We only do the second kind, and the three terms below are where the negotiation actually happens.
An exclusive licence commands the premium and closes the record to other buyers for the term. A non-exclusive licence prices lower per deal but can be granted again as the record grows. Which is right depends on how rare your category is and whether the business is still producing.
A perpetual licence over a fixed cut of history suits a business that has stopped trading. An operating business keeps producing, so a fixed term with a renewal captures value a one-off deal would price at its smallest.
Training, evaluation or research; the territory; the ban on re-identification; the obligation not to resell. Narrower permitted use keeps more of the market open to you later. Every one of these is written down before a byte moves.
